Welcome to NightShift. By accessing or using our AI hotel operations platform, you agree to be bound by these Terms of Service. Please read them carefully.

1. Service Description

NightShift is an autonomous AI platform designed to manage hotel operations including dynamic pricing, channel management, guest communications, market intelligence, and automated night audits. Our service operates 24/7 to optimize your property's performance.

2. Account Registration

To use NightShift, you must:

• Be at least 18 years old and have the authority to bind your hotel or business to these terms
• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

3. Subscription & Billing

NightShift operates on a subscription basis:

• Pricing: $299 per month per property
• Billing Cycle: Monthly, charged in advance
• Payment: Processed securely through our payment processor
• Auto-Renewal: Your subscription automatically renews each month unless canceled
• Price Changes: We reserve the right to modify pricing with 30 days' notice

All fees are non-refundable except as required by law or as explicitly stated in these terms.

4. Cancellation Policy

You may cancel your subscription at any time:

• Cancellation takes effect at the end of your current billing period
• You will retain access to the service until the end of your paid period
• No refunds are provided for partial months
• You can reactivate your account at any time by resubscribing

5. Data Handling & Ownership

Your Data: You retain all rights to your hotel data, property information, and guest data. We collect and process this data solely to provide our services.

Our Use: We may use aggregated, anonymized data to improve our services, train our AI models, and generate industry insights. This data cannot be used to identify you or your property.

Data Security: We implement industry-standard security measures to protect your data. However, no system is 100% secure, and we cannot guarantee absolute security.

6. Acceptable Use

You agree not to:

• Use the service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the service
• Upload malicious code, viruses, or harmful content
• Use the service to send spam or unsolicited communications
• Interfere with or disrupt the service or servers

7. Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the service. We may:

• Perform scheduled maintenance (with advance notice when possible)
• Temporarily suspend service for urgent maintenance or security issues
• Modify or discontinue features with reasonable notice

We are not liable for any losses resulting from service interruptions.

8. Limitation of Liability

IMPORTANT: To the maximum extent permitted by law:

• NightShift is provided "as is" without warranties of any kind, express or implied
• We do not guarantee specific results, revenue increases, or cost savings
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for decisions made by our AI system or their outcomes

You are responsible for reviewing and approving AI-generated decisions that affect your business operations.

9. Indemnification

You agree to indemnify and hold harmless NightShift, its affiliates, and its employees from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the service
• Your violation of these terms
• Your violation of any third-party rights
• Any content or data you provide to the service

10. Intellectual Property

NightShift and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our service without explicit permission.

11. Third-Party Services

NightShift may integrate with third-party services (OTAs, channel managers, payment processors, etc.). Your use of these services is governed by their respective terms of service. We are not responsible for third-party services or their availability.

12. Termination

We may terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms of Service
• Your payment fails or your account is past due
• We are required to do so by law
• Your use of the service poses a security risk or violates our Acceptable Use policy

Upon termination, your right to use the service ceases immediately. We may delete your data after a 30-day grace period.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

14. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes by:

• Posting the new terms on this page
• Updating the "Last Updated" date
• Sending an email notification (for significant changes)

Your continued use of the service after changes take effect constitutes acceptance of the new terms.

Assignment: You may not assign or transfer these terms without our written consent. We may assign our rights and obligations without restriction.
